Tender Details

Transport for NSW is seeking proposals for a Commercial and Financial Advisor for the Commercialisation of the Sydney Coordinated Adaptive Traffic System (SCATS).

SCATS is a real-time adaptive signal control system that can adjust signal timing in response to traffic flow fluctuations and system capacity.

Transport for NSW is seeking to implement a new commercial model, with a Commercial Partner to accelerate innovation and importantly future proof the SCATS product and business. The Commercial Partner model will enable NSW to stay ahead of the obsolescence curve and maintain SCATS and NSW's reputation as a global leader in traffic management.

To facilitate the engagement of the Commercial Partner, the project will engage a Probity Advisor, Transaction Manager, Legal Advisor and Commercial and Financial Advisor. This Request for Proposal relates to the engagement of the Commercial and Financial Advisor only.

The engagement of the Commercial and Financial Advisor will be separated into two distinct phases:

Development Phase:

  • refinement of strategic objectives for SCATS commercialisation including how these may evolve over time
  • development of an initial commercial strategy in line with these objectives
  • testing and refinement of the strategy through market sounding and 
  • providing Transport for NSW with an outcomes report and expert commercial advice in relation to potential amendments to the strategy including any further inputs required to assist Roads and Maritime to obtain approval to progress to the Transaction Phase.

Transaction Phase (Option):

  • input into transaction and contract documentation for the Commercial Partner
  • review and assess the financial models put forward by Proponents
  • assist with the assessment of bids and financial capacity of Proponents
  • input into negotiations with Proponents and
  • providing expert commercial and financial advice as directed by Transport for NSW on structuring, tax, accounting, foreign exchange, intellectual property, ownership of data and other commercial and financial issues that may impact on the commercial offer from the Proponents throughout the procurement.

Work on the Transaction Phase will be subject to approval and only undertaken if, and when Transport for NSW exercises the option.

Attendance is recommended but not mandatory. Please arrive 15 minutes before the start to allow for sign in and a prompt start.

All proponents must comply with the New South Wales Government’s Procurement Policy Framework (NSW Framework) and Code of Practice for Procurement (NSW Code).  Copies of the NSW Framework and NSW Code are available at www.procurepoint.nsw.gov.au.

Prospective tenderers will need to complete, sign and return the confidentiality deed (in accordance with the instructions in that deed) prior to being given the passcode to access the RFP documents.

The completed deeds can be returned via email to Jason Hendricks (jason.hendricks@rms.nsw.gov.au) and Brendan Britton (brendan.l.britton@transport.nsw.gov.au). Please send a copy to both officers to cover leave periods over the Christmas/New Year period.
